Terms of Operations

These Terms of Operations ("Terms", "Framework") govern the absolute relationship between Cypraon ("We", "Our", "The Firm") and any corporate entity or individual ("Client", "You") accessing our digital properties, consulting pipelines, or architectural frameworks.

1. Strategic Advisory Engagements

All Fractional CTO, ERP Audit, and Governance consulting engagements are subject to specialized, independently drafted Master Service Agreements (MSAs). In the event of a conflict between these Terms of Operations and your MSA, the explicit clauses within the strictly negotiated MSA hold absolute supremacy.

2. Intellectual Property (IP) Matrix

• Cypraon Core IPAll underlying architectural blueprints, methodologies, assessment matrices, proprietary codebases, and brand telemetry associated with Cypraon remain our exclusive, non-transferable property.
• Client DeliverablesUpon final settlement of all OpEx invoices, the specific structural deliverables, bespoke software implementations, and audit reports generated explicitly for the Client become the Client's unencumbered property, subject to retained modular rights by Cypraon for underlying generic patterns.

3. Zero-Liability Architecture

Cypraon engineers high-fidelity systems, but operates in highly volatile tech ecosystems (SAP, Oracle, Cloud Grids).

4. Confidentiality & Non-Disclosure

We operate under default absolute secrecy. Any corporate information provided to Cypraon prior to formally executing an NDA is treated as confidential by default. We will not expose your architectural vulnerabilities, failing agile processes, or financial constraints to external vectors.

5. Termination Protocols

Cypraon reserves the unilateral right to sever advisory pipelines or digital access if a Client is found to be engaged in hostile actions, fraudulent telemetry, violating international sanctions, or breaching the terms of this operational framework.

6. Jurisdiction & Dispute Resolution

This framework is governed by the laws of the jurisdiction specified in your localized Master Services Agreement, without regard to conflict of law principles. In the absence of an MSA, jurisdiction defaults to the strict corporate laws of the State of Delaware, USA.
